These Terms and Conditions (“Terms”) govern your access to and use of the EGARAGI Mobile
Application (“App”), the EGARAGI website (www.egaragi.com), and any associated services,
including vehicle auctions (collectively, the “Services”). These Terms form a legally binding
agreement between:
● “Seller” (also referred to as “Vendor”, “Supplier”, or “First Party”)
● “Buyer” (also referred to as “Bidder”, “Second Party”, or “Purchaser”)
● and Scan Tech General Trading LLC, the owner and operator of the EGARAGI platform
(hereafter referred to as “EGARAGI” or the “Auction Platform”).
By using the Services, both Sellers and Buyers acknowledge they have read, understood, and
agree to comply with these Terms. If you are representing a company or business, you confirm
that you have the authority to bind that entity.

EGARAGI General Terms and Conditions for Sellers and Buyers

EGARAGI acts solely as a technology and auction facilitation platform. All vehicles listed in
auctions are provided directly by Sellers. EGARAGI is not a party to the sales agreement
between Seller and Buyer but serves as an intermediary to enable secure, transparent online
and offline transactions.

1. Role of EGARAGI

● Lot/Item/Vehicle: The asset listed for auction by a Seller.
● Bidder: Any registered user who places a bid in an auction.
● Auction Services: Digital tools and services provided by EGARAGI to facilitate bidding,
transactions, and logistics.
● Listing Fee: A charge for placing a vehicle on the EGARAGI auction platform, regardless
of sale status.
● Auction Fee: Commission charged upon successful sale of a vehicle.
● Reserve Price: Minimum price a Seller agrees to accept for a vehicle.
● Own-Bid: When a Seller attempts to bid on their own listing (strictly prohibited).
● Gate Pass: A document issued to authorize vehicle delivery or pickup.

2. Definitions

Users must be at least 21 years old to register.
● Accurate, verifiable legal documents (Emirates ID, trade license, etc.) are required to
activate Seller/Buyer accounts.
● Users are responsible for maintaining the security and activity of their account.
● EGARAGI may suspend or terminate accounts for fraud, misuse, or any breach of these
Terms.

3. User Registration & Account Management

Sellers must provide complete, accurate details about the vehicle, including make,
model, condition, VIN, documentation, and reserve price.
● All vehicles listed must have clear legal title and must not be encumbered, stolen, or
tampered with.

4. Seller Terms
4.1 Vehicle Listings

● Listing Fee: Applied after a vehicle runs through its allotted auction cycles, whether sold
or unsold.
● Auction Fee: Commission deducted from final sale price, per Seller Plan.
● Storage Fee: If a vehicle is not picked up after 3 days of unsold status, AED 35/day
storage will apply.
● Own-Bid Penalty: Attempting to bid on your own vehicle may result in a 20%
downpayment penalty and permanent suspension.

4.2 Fees

Seller must transfer ownership upon full payment by the Buyer.
● Sellers must submit original, valid documentation for vehicle transfer.
● EGARAGI may issue invoices on behalf of the Seller for tax and compliance purposes.

4.3 Post-Sale Obligations

Buyers must activate a bid limit plan through a refundable security deposit (via card,
cash, or bank transfer).
● Bid limit defines the maximum bidding value per Buyer account.
● Bids cannot be edited or withdrawn once placed.

5. Buyer Terms
5.1 Auction Participation

Winning Bid must be paid within 3–5 days.
● The buyer is responsible for picking up the vehicle within 5 days from the date of full
payment to avoid storage fees.
● EGARAGI will issue a gate pass only after payment and required documentation are
submitted.

5.2 Purchase Process

Buyers may place pre-bids before the auction starts. These are binding.
● Auctions are synced between online and offline platforms.
● If the reserve price is not met, the item goes under “Approval Status”. Sellers may
accept, reject, or counter the last bid.

5.3 Pre-Bidding & Live Bidding

Until Sept 30, 2024: Sellers issue invoices directly.
● From Oct 1, 2024: EGARAGI issues VAT invoices on behalf of Sellers.
● Sellers are responsible for VAT filings with FTA.
● Buyers must specify if invoicing is under personal or company name at the time of
payment.

6. Tax Invoicing & Payments

Buyers may be eligible for refunds if:
● VIN does not match vehicle documentation.
● Major undisclosed damage prevents vehicle registration.
● Seller cancels sale after full Buyer payment.

Refunds are NOT applicable if:
● The buyer fails to pick up the vehicle after payment.
● The buyer fails to pay within the time limit.
● The car is sold in “As-Is” condition and Buyer claims after-sale issues.

7. Refunds & Cancellations

Buyers may be eligible for refunds if:
● VIN does not match vehicle documentation.
● Major undisclosed damage prevents vehicle registration.
● Seller cancels sale after full Buyer payment.

Refunds are NOT applicable if:
● The buyer fails to pick up the vehicle after payment.
● The buyer fails to pay within the time limit.
● The car is sold in “As-Is” condition and Buyer claims after-sale issues.

8. Vehicle Storage & Abandonment

● All disputes regarding vehicle condition or documentation must be handled between
Buyer and Seller.
● EGARAGI will not be held responsible for vehicle damages, misrepresentation, or title
issues.
● Sellers indemnify EGARAGI from any legal or financial claims arising from fraudulent or
inaccurate listings.

9. Dispute Resolution & Liability

● Use of bots, scrapers, or automated bidding tools is strictly prohibited.
● Users must comply with UAE’s Cybercrime Law (Federal Decree-Law No. 34 of 2021).
● Abusive language or fraud attempts will result in permanent suspension and possible
legal action.

10. Platform Conduct and Compliance

● EGARAGI provides services “as-is” with no warranties.
● EGARAGI is not responsible for delays, interruptions, or platform errors.
● The seller remains liable for authenticity and condition of the vehicle.

11. Limitation of Liability

Users (both Seller and Buyer) agree to indemnify and hold EGARAGI, its affiliates, officers, and
staff harmless from any claim, loss, or damage resulting from:
● Misrepresentation or fraud
● Failure to complete transactions
● Misuse of platform
● Any breach of applicable laws or these Terms

12. Indemnification

EGARAGI reserves the right to revise these Terms at any time. Updated Terms will be published
on the app and website. Continued use of the platform after changes implies acceptance.

13. Changes & Updates to Terms

All disputes arising from or related to these Terms shall be subject to the jurisdiction of the
courts in the Emirate of Sharjah, United Arab Emirates.
